1. Introduction & Platform

Bidje.com is a digital property platform that enables users to:

  • Browse property listings;
  • Search and filter properties;
  • View selected property information;
  • Access additional subscriber-only property information;
  • View actual property addresses and locations where made available;
  • Register and maintain user accounts;
  • Submit an Offer to Purchase;
  • Select an available purchase method;
  • Pay an initial earnest deposit;
  • Upload purchaser information and supporting documentation;
  • Track or facilitate a property transaction; and
  • Use other property-related functions introduced by Bidje.com.

Bidje.com acts as a technology, information and transaction-support platform.

A property displayed on Bidje.com does not by itself constitute a legally binding offer by the property owner. Similarly, payment or submission of an Offer to Purchase does not by itself transfer ownership of the property.


1.1 Parties Involved

Depending on the relevant transaction, parties may include the following:

1.1.1 Platform Operator

  • YSBRNV Consultant & Management Sdn. Bhd.
  • Role: Operates and manages Bidje.com and provides platform, administrative and transaction-support services.

1.1.2 Listing Firm

  • Vigor Properties Sdn. Bhd.
  • Role: Acts as the estate agency/listing firm for properties assigned to or handled by it.

1.1.3 Seller / Vendor

  • The registered owner of the property or another person lawfully authorised to sell or dispose of the property.

1.1.4 Purchaser

  • The individual or entity submitting an Offer to Purchase and/or entering into the applicable property transaction.

1.1.5 Appointed Solicitor

  • An advocate and solicitor/law firm appointed for the relevant property transaction. Other third parties, including banks, valuers, financial institutions, contractors and professional advisers, may also be involved.

1.2 Free Access

Certain portions of Bidje.com may be accessed without payment. Non-paying users may receive only limited information relating to a property. Bidje.com may determine which information or functionality is available to:

  • Visitors;
  • Registered users;
  • Paying subscribers; and
  • Purchasers participating in a property transaction.

2. Accounts

2.1 User Account Responsibilities

Users must:

  • Provide truthful and accurate information;
  • Maintain accurate contact details;
  • Protect passwords;
  • Prevent unauthorised account access;
  • Not impersonate another person;
  • Not submit fraudulent transactions; and
  • Notify Bidje.com of suspected unauthorised use.

NOTE: Bidje.com may suspend or restrict accounts where misuse, fraud or security risk is reasonably suspected.


2.2 Identity and Document Verification

A purchaser may be required to provide information such as:

  • Name;
  • Identification card/passport;
  • Telephone number;
  • Email;
  • Address;
  • Employment information;
  • Financing information;
  • Offer details;
  • Supporting documents; and
  • Other information required for transaction processing.

WARNING: Submission of false or misleading information may result in rejection or termination of the transaction.


3. Property Listings

3.1 Property Availability

A listing displayed on Bidje.com does not guarantee that the property remains available. Property availability may change due to:

  • Seller decision;
  • Acceptance of another offer;
  • Withdrawal;
  • Legal restrictions;
  • Property status;
  • Financing issues; or
  • Other circumstances.

3.2 Property Information

Bidje.com aims to provide reasonably accurate property information. However, information may originate from:

  • Sellers;
  • Owners;
  • Estate agency firms;
  • Negotiators;
  • Public information;
  • Lawyers;
  • Third parties; or
  • Other sources.

TIP: Users should independently verify material information before entering into a transaction.


3.3 Property Value & Price

Any price displayed on Bidje.com may represent:

  • Asking price;
  • Seller's target price;
  • Offer price;
  • Indicative price;
  • Negotiated price; or
  • Another price category stated on the listing.

Unless expressly identified as a formal valuation, information displayed by Bidje.com does not constitute a formal valuation by a registered valuer.


4. Offers & Transactions

4.1 Purchase Methods

Depending on the property, Bidje.com may provide the following purchase methods:

  1. Cash Purchase
  2. Loan / Bank Financing Purchase
  3. Joint Venture Purchase

NOTE: Not every property may be available under every purchase method. The available method, payment schedule and transaction conditions may vary according to the relevant listing.


4.2 Offer to Purchase

Before or as part of paying the RM500, the purchaser may be required to submit or accept an Offer to Purchase. The Offer to Purchase may specify:

  • Property;
  • Proposed purchase price;
  • Purchase method;
  • Initial earnest deposit;
  • Remaining earnest deposit;
  • Completion period;
  • Conditions;
  • Financing terms;
  • Refundability;
  • Forfeiture provisions; and
  • Other transaction-specific requirements.

IMPORTANT: A purchaser should carefully read the Offer to Purchase before paying the earnest deposit. The legal effect of a deposit depends significantly on the actual contractual terms agreed by the parties, so material payment and forfeiture provisions should be expressly stated in the transaction documents.


4.3 Summary of Purchase Methods

Default & Forfeiture Guidelines

  • Cash: RM500 and applicable earnest deposit may be forfeited if the purchaser fails to complete payment according to the SPA.
  • Loan: RM500 is non-refundable if financing is not approved where expressly agreed by the purchaser.
  • Joint Venture: RM500 and applicable earnest deposit may be forfeited if the purchaser fails to settle the purchase price within the agreed 6/12/18-month JV period.

NOTE: All forfeiture remains subject to the applicable signed transaction documents and Malaysian law.


5. Purchase Structures: Cash, Loan & Joint Venture

5.1 Cash Purchase

Where the purchaser selects Cash Purchase, the following general payment structure shall apply:

  1. Initial RM500: The purchaser pays RM500 to YSBRNV Consultant & Management Sdn. Bhd. as the initial earnest deposit.
  2. Remaining Earnest Deposit: Any balance earnest deposit required for the transaction shall subsequently be paid to the appointed solicitor in accordance with the Offer to Purchase and/or SPA.
  3. Signing of SPA: The purchaser and vendor shall enter into the applicable Sale and Purchase Agreement (“SPA”).
  4. Balance Purchase Price: The remaining balance purchase price shall be paid to the appointed solicitor in accordance with the completion period and payment provisions specified in the SPA.
  5. Completion: The purchaser is responsible for completing payment within:
    • The completion period stated in the SPA; and
    • Any extended completion period expressly provided by the SPA.
  6. Failure to Complete: If the purchaser fails to pay the balance purchase price within the period specified in the SPA, including any agreed extension, the purchaser may be treated as being in default.

LEGAL CONTEXT: Subject to the SPA and applicable law, the RM500 and applicable earnest deposit may be forfeited and become non-refundable. The SPA shall govern any further consequences of purchaser default. Malaysian Bar guidance explains that in a typical sub-sale SPA, failure by a purchaser to pay the balance purchase price by the stipulated completion or extended date can entitle the vendor to forfeit the deposit, subject to the actual SPA terms.


5.2 Loan / Bank Financing Purchase

Where the purchaser selects Loan / Bank Financing, the following general payment structure applies:

  1. Initial RM500: The purchaser pays RM500 to YSBRNV Consultant & Management Sdn. Bhd. as the initial earnest deposit.
  2. Remaining Earnest Deposit: The purchaser shall pay the applicable balance earnest deposit to the appointed solicitor after twenty-one (21) working days, subject to the exact payment timetable stated in the Offer to Purchase or transaction documentation.
  3. Bank Financing: The purchaser shall apply for financing from a bank or financial institution. The balance purchase price will ordinarily be settled through:
    • Approved bank financing; and
    • Any purchaser's own funds required to make up the difference between financing obtained and the total purchase price.
  4. Purchaser's Responsibility: The purchaser is responsible for:
    • Assessing his or her financial eligibility;
    • Applying for financing promptly;
    • Providing complete and accurate documentation;
    • Cooperating with the bank;
    • Responding to bank requests;
    • Cooperating with the appointed solicitor; and
    • Taking reasonable steps to obtain financing.
  5. No Guarantee of Loan Approval: Neither Bidje.com, YSBRNV nor Vigor Properties guarantees that financing will be approved. The financing decision is solely made by the relevant bank or financial institution.
  6. Loan Rejection: The purchaser expressly acknowledges that the RM500 Initial Earnest Deposit is non-refundable and may be forfeited if the purchaser's loan application is unsuccessful, provided this condition has been expressly disclosed in and accepted under the applicable Offer to Purchase/payment terms. This risk must be accepted by the purchaser before payment.
  7. Other Earnest Deposit: If the purchaser has subsequently paid additional earnest deposit to the appointed solicitor, the treatment of such amount shall be determined according to the Offer to Purchase, SPA, solicitor stakeholder terms, and other applicable transaction documentation.

5.3 Joint Venture (JV) Purchase Arrangement

Certain properties may be offered under a Joint Venture (“JV”) purchase arrangement. Available JV completion periods may include:

  • 6 months
  • 12 months
  • 18 months

The applicable period shall be expressly stated before the purchaser enters into the JV.

Joint Venture Payment Structure:

  1. Initial Payment: The purchaser / JV participant pays RM500 to YSBRNV Consultant & Management Sdn. Bhd. as the initial earnest deposit, subject to the applicable Offer to Purchase and Joint Venture Agreement.
  2. Remaining Earnest Deposit: The balance earnest deposit shall be paid to the appointed solicitor according to the timetable contained in the relevant Offer to Purchase and/or Joint Venture Agreement.
  3. Balance Purchase Price: The balance purchase price shall be paid to the appointed solicitor within the agreed JV transaction period of 6, 12, or 18 months. The exact completion deadline shall be specified in the Joint Venture Agreement.
  4. Failure to Complete: If the purchaser / JV participant fails to settle the balance purchase price within the agreed period, the purchaser may be treated as being in default. Subject to the applicable Joint Venture Agreement, the RM500 Initial Earnest Deposit and remaining earnest deposit may be forfeited and become non-refundable. Other rights, obligations and consequences of default shall be governed by the Joint Venture Agreement.
  5. Agreement Prevails: A Joint Venture transaction may involve additional rights and obligations which differ from a conventional property purchase, including matters relating to renovation, funding, possession, property management, resale, profit sharing, costs, completion, default, termination, and distribution of proceeds. Where there is any inconsistency between this general website policy and the signed Joint Venture Agreement relating to a particular transaction, the transaction-specific agreement shall govern to the extent permitted by law.

6. Prohibited Use

Users must not:

  • Provide fraudulent information;
  • Use stolen identities;
  • Make unauthorised payments;
  • Submit false Offers to Purchase;
  • Interfere with website security;
  • Attempt unauthorised system access;
  • Scrape protected databases without permission;
  • Circumvent subscriber restrictions;
  • Misuse seller information;
  • Abuse refund systems; or
  • Use Bidje.com for unlawful purposes.

7. Intellectual Property

Unless otherwise stated, Bidje.com's:

  • Software;
  • Source code;
  • Database;
  • Interface;
  • Branding;
  • Design;
  • Text;
  • Images owned by Bidje.com;
  • Platform structure; and
  • Proprietary functionality

are owned by or licensed to YSBRNV Consultant & Management Sdn. Bhd. and/or relevant rights holders.


8. Disclaimers

Bidje.com does not guarantee:

  • Seller acceptance;
  • Property availability;
  • Bank financing;
  • Legal approval;
  • Successful completion;
  • Particular resale value;
  • Particular property value;
  • Completion within a specific period except where contractually agreed; or
  • The performance of independent third parties.

9. Liability

To the extent permitted by Malaysian law, Bidje.com and YSBRNV shall not be responsible for loss arising solely from matters outside their reasonable control, including:

  • Seller actions;
  • Bank decisions;
  • Government decisions;
  • Solicitor delays;
  • Market movements;
  • Financing rejection;
  • Independent third-party conduct; or
  • Events beyond reasonable control.

NOTE: Nothing in these Terms excludes rights or liabilities that cannot legally be excluded.


10. Changes and Governing Law

Bidje.com may update:

  • These Terms;
  • Subscription terms;
  • Privacy Policy;
  • Payment Policy;
  • Refund Policy; or
  • Platform functionality.

The current version will be displayed on Bidje.com with its effective date.

Governing Law

These Terms shall be governed by the laws of Malaysia. Disputes shall be dealt with according to Malaysian law and the jurisdiction of the relevant courts or any other dispute-resolution mechanism agreed by the relevant parties.
